Item 8.01. Other Events.
As previously disclosed on a Current Report on Form 8-K dated December 3, 2021, on December 3, 2021 Roth CH Acquisition V Co. (the “Company”) consummated its initial public offering (“IPO”) of 11,500,000 units (the “Units”), including 1,500,000 issued upon the exercise in full by the underwriters of the over-allotment option. Each Unit consists of one share of common stock, $0.0001 par value (“Common Stock”), and one-half of one warrant (“Warrant”), each warrant entitling the holder thereof to purchase one share of Common Stock at a price of $11.50 per whole share. The Units were sold at an offering price of $10.00 per Unit, generating gross proceeds of $115,000,000.
As of December 3, 2021, a total of $116,725,000 of the net proceeds from the IPO and the private placement consummated simultaneously with the closing of the IPO were deposited in a trust account established for the benefit of the Company’s public stockholders.
An audited balance sheet as of December 3, 2021, reflecting receipt of the proceeds upon consummation of the IPO and the private placement, is included with this report as Exhibit 99.1.
